End User License Agreement

This license agreement (the "License Agreement") sets forth the terms and conditions of use of the home edition of MyOffice Standard computer software (the "Software") and is concluded between You and New Cloud Technologies Ltd., which is the Rightholder of the Software.

Please read the following terms and conditions of the License Agreement carefully before using the Software. Whenever You use the Software, You fully and unconditionally accept the terms and conditions of this License Agreement.

If You do not accept the terms and conditions of the License Agreement in full, You do not have the right to use the Software for any purpose or in any manner.

Capitalized terms and definitions in this License Agreement shall have the following meanings (irrespective of the number or case in which such terms and definitions are used):

"Rightholder" means New Cloud Technologies Ltd. (OGRN (Primary State Registration Number) 1147746237660), the holder of exclusive rights to the Software.

"You" or the "End User" means a natural person who has legally obtained the right to use (simple (non‑exclusive) license) the Software.

"Software Installer" means a set of files prepared for distribution of the Software which includes auxiliary tools for automatic or automated installation and initial configuration of the Software.

"License" means the right to use the Software (a simple, non-exclusive license) granted to You in accordance with the terms and conditions of this License Agreement.

"Installation" means recording (reproduction) of the Software on the Computer carried out by the Manufacturer using the Software Installer or recording (reproduction) of the Software on the Computer carried out by You using the Software Installer downloaded from the Application Store or downloaded from the website of the Rightholder and/or the Rightholder's authorized partner.

"Application Store" means an Internet site that has made available the Software Installer for downloading and further use by You on the Computer on a legal basis and upon the permission of the Rightholder.

"Computer" means a technical device owned and/or used by You that automatically processes data in accordance with a particular program, an instance of which can be identified by a unique hardware identifier (motherboard ID, BIOS ID, etc.) assigned by the manufacturer of such device or by a set of such identifiers.

"Manufacturer" means a producer/manufacturer of Computers or the person/entity which assembles them.

"Pre-Installed Software" means the Software Pre-Installed on the Computer by the Manufacturer.

1. General Provisions

1.1. This License Agreement shall come into force from the time when You start using the Software in any way, or when You express Your consent to the conclusion of the License Agreement at the first launch of the Software by checking the special box opposite the phrase "I agree to the terms and conditions of the License Agreement" or when You download the Software Installer from the Application Store or from the website of the Rightholder and/or a person authorized by the Rightholder.

1.2. For the purposes of this License Agreement, the Home Edition of MyOffice Standard computer software (also referred to as MyOffice Standard. Home Edition and/or MyOffice Standard. Home and/or MyOffice Home) means MyOffice Standard computer software which has a special feature list specified on the Rightholder's website (or in the supporting documentation for the Software or in any other way specified by the Rightholder), and which is provided to You as Pre-Installed Software on Your Computer solely for Your home use of the Software for the period of time specified in this License Agreement, or which is provided to You when You download the Software Installer from the Application Store or from the website of the Rightholder and/or the Rightholder's authorized partner solely for Your home use of the Software for the period of time specified in this License Agreement. The Software includes a home edition of MyOffice Text editor and a home edition of MyOffice Spreadsheet editor. The list of features that can be performed by the Software when it is used under other license agreements concluded with the Rightholder (governing the use of computer software not mentioned in this License Agreement which provide for the possibility of using the Software) is specified on the website mentioned in such license agreements or in the supporting documentation for the computer software not mentioned in this License Agreement which provide for the possibility of using the Software or in any other way defined by the Rightholder (except for the case when the functionality of the Software used under this License Agreement and the functionality of the Software used under another license agreement concluded with the Rightholder are not different).

1.3. The Software is provided to You solely for non-commercial, home use, that is, solely for personal, family, household, domestic and other similar needs not related to business, government and other similar activities. You or any other third party may not use the Software for any type of commercial activity, for working purposes in the activities of government, municipal, commercial and/or public bodies and organizations, institutions, enterprises, for the purposes of entrepreneurial activity in any form (individual entrepreneur, self-employed, etc.) carried out by You or any other third party, as well as for other activities not related to home use of the Software.

1.4. If You use the Pre-Installed Software under this License Agreement, You are granted a non-transferable right to use the Pre-Installed Software by launching it on the Computer under the following conditions: the License for the Pre-Installed Software allows You to use the Pre-installed Software only on the Computer on which the Pre-Installed Software was first installed by the Manufacturer, for only one End User at a time. In case You use the Software, the Software Installer of which was legally downloaded by You from the Application Store or downloaded from the website of the Rightholder and/or a person authorized by the Rightholder, this License Agreement grants You a non-transferable right to use the Software by launching it on Your Computer under the following conditions: the Software License allows You to use the Software only on one Computer on which the Software was first installed by You using the Software Installer downloaded by You from the Application Store or downloaded from the website of the Rightholder and/or a person authorized by the Rightholder.

1.5. Unless otherwise clearly follows from the nature of your contractual relations with the Rightholder and/or persons authorized by the Rightholder, the License is granted to You free of charge for the term of validity of the Rightholder's exclusive right to the Software or for another term specified unilaterally by the Rightholder.

1.6. You may transfer the License for the Pre-Installed Software on a Computer to a third party only upon alienation of such Computer. You are not permitted to proceed with Installation of the Pre-Installed Software on another Computer, including if the Computer is no longer in use or is malfunctioning.

1.7. All components of the Computer can be replaced while preserving the validity of the License for Pre-Installed Software except for the components, which replacement causes the alteration of the unique hardware identifier of the Computer (system board ID, BIOS ID, etc.). If a component of the Computer is replaced which results in a change in the unique hardware identifier of the Computer, the License for Pre-Installed Software will expire unless such component is replaced under warranty with an identical one.

1.8. The Rightholder is entitled to make any changes in the present License Agreement unilaterally. The new version of the License Agreement is published at https://myoffice.ru/eula_home_edition_en/ and shall become effective as of the date of its publication if not stated otherwise in the respective publication. You shall use the Software in accordance with the current (up-to-date) License Agreement published on the Rightholder's website.

1.9. The provisions of this License Agreement shall also apply to all versions of the Software, including such versions as may be developed after the effective date of this License Agreement. The Software version may be specified by the Rightholder by indicating a corresponding Arabic digit (or digits) or by indicating letters or alphanumeric combinations after the name of the Software or in any other manner determined by the Rightholder. The provisions of this Clause shall also apply if the Software has an alternative name (designated, for example, by indicating a corresponding Arabic digit (or digits) or by indicating letters or alphanumeric combinations after the name of the Software or in any other manner determined by the Rightholder), including those in a foreign language.

1.10. In case You use the Software under other license agreements (governing the use of computer software not mentioned in this License Agreement, which provide for the possibility of using the Software) concluded with the Rightholder, the terms and conditions of such other license agreements shall prevail over the terms and conditions of this License Agreement. The termination of such other license agreements shall not result in the termination of this License Agreement, unless otherwise expressly set forth by the Rightholder.

2. Restrictions on Use

2.1. Except for use by means and to the extent which are stipulated by this License Agreement or by legislation of the Russian Federation, You do not have the right to use the Software, including:

2.1.1. To study, research or test the functioning of the Software for the purpose of determining the ideas and principles underlying any component of the Software, decompiling it, decrypting it or in other ways attempting to obtain the initial text of the Software.

2.1.2. To modify and adapt the Software (including changing the Software exclusively for the purpose of its functioning on the specific hardware used by You or under the control of Your specific programs).

2.1.3. To correct errors in the Software.

2.1.4. To reproduce, distribute, copy, bring the Software to the notice of the public in any form or by any means which is not explicitly stipulated in this License Agreement, including together with other computer programs, as part of packages, with an offer of other computer programs, settings, and other products, regardless of the objectives of such use.

2.1.5. To rent out or transfer for temporary use (including by means of transferring the Computer on which the Software is Installed), to sublicense, to transfer or assign the rights granted to You by this License Agreement, and any other rights relating to the Software, to any other person, unless otherwise explicitly stipulated in this License Agreement.

2.1.6. To create the conditions for access to the Software by third parties who do not have the right to use the given Software, including in a virtual medium or via the Internet, unless otherwise explicitly stipulated in this License Agreement.

2.1.7. To delete, change or make hard to detect any notification about copyrights or the rights to trademarks which are indicated in the related documentation to the Software or inside the Software.

2.2. You may not provide simultaneous access to the Software to third parties nor use virtualization technologies.

2.3. For violation of the intellectual property rights to the Software, You shall be civilly, administratively, or criminally liable in accordance with the legislation of the Russian Federation.

3. Limitation of Liability

3.1. The Software is licensed "as is". The Rightholder does not provide any guaranties with respect to faultless and uninterrupted operation of the Software, the conformity of the Software to Your specific objectives and expectations and does not provide any other guaranties which are not directly indicated in this License Agreement.

3.2. By accepting the terms and conditions of this License Agreement, You acknowledge that You shall bear the risk of any consequences caused by errors or other malfunctions of the Software. The Rightholder is under no obligation to provide You with technical support, maintenance and updates to the Software. The Rightholder shall reserve the right to take any action to restrict or terminate Your use of the Software. The Rightholder shall have no obligation to provide You with a copy of the commercial version of the Software, nor shall the Rightholder be obligated to make the Software available for commercial use by You. The Rightholder makes no warranty that any specific errors or inconsistencies in the Software will be fixed. You ensure that you take all necessary security measures to protect the data stored in the Computer's memory in advance, proceed with caution and do not rely in any way on the proper functioning or operation of the Software.

3.3. To the maximum degree allowable by current legislation of the Russian Federation, the Rightholder shall not bear any liability for any direct or indirect consequences of any use or the inability to use the Software and/or damage caused to You and/or to third parties as a result of any use or non-use of the Software, including due to possible errors or malfunctions in the work of the Software.

3.4. Under no circumstances shall the Rightholder be liable to You and/or any third party for consequential damages. The notion of "consequential damages" includes but is not limited to losses of income, profit, expected savings, business activity or reputation.

3.5. The Software is not fault-tolerant.

3.6. In case of ascertainment of guilt in the actions of the Rightholder, the liability of the Rightholder under any circumstances in accordance with Article 15 of the Civil Code of the Russian Federation is limited to ten thousand Russian rubles (RUB 10,000).

4. Intellectual Property Rights

4.1. Except for rights of use directly stipulated by this License Agreement, You are not given any rights to the intellectual property of the Rightholder (including the Software and any patents, trademarks and intellectual property protected under the legislation of the Russian Federation). You shall not, during the term of validity of this License or after its expiration, use or claim any rights to any name, trademark, brand name, style or design belonging to the Rightholder or to any names, trademarks, brand names, styles or designs which are similar to the degree of possible confusion.

4.2. You shall not be entitled to use the trademarks and service marks held by the Rightholder, including the trademarks «МойОфис» and MyOffice without the prior written consent of the Rightholder.

4.3. Separate components of the Software can contain links and include materials and software distributed under a free license. In these cases, the Rightholder does not claim authorship and, to the extent possible, makes footnotes to the copyright ownership and location of the license agreement covering such software.

4.4. The Rightholder shall be entitled to use the Software at its own discretion in any manner not contrary to the law, including unilaterally making changes to the Software, changing the functionality of the Software (for example, by adding/removing the corresponding functions), changing the composition of the Software (for example, by adding and removing applications and/or modules included in the Software), creating new versions of the Software, and performing other actions related to ensuring the functioning of the Software. The End User agrees that any use of the Software by the Rightholder may not result in a material change in the circumstances on which the End User relied upon when entering into this License Agreement, nor may it result in damages or other unfavorable consequences for the End User.

5. Confidentiality

5.1. All data regarding Your use of the Software transferred by You under this License Agreement is stored and processed in accordance with the Privacy Policy which can be found at https://myoffice.ru/policy_home_en/.

5.2. You hereby agree to provide your personal data (including name, address, email and telephone number) and agree that your personal data may be processed (including, without limitation, collection and/or other use) by the Rightholder, provided that the confidentiality of personal data is ensured in accordance with the Privacy Policy of the Rightholder.

6. Applicable Law

6.1. The relations between the Rightholder on the one hand and You on the other hand are governed by the legislation of the Russian Federation.

7. Right to Withdraw from the License Agreement

7.1. The Rightholder shall be entitled to unilaterally withdraw from this License Agreement out of court (revoke the License) without compensating You for any possible losses. In this case, You shall immediately stop using the Software and uninstall (erase irretrievably) the Installed Software.

8. Miscellaneous

8.1. In the event that any part of this License Agreement is held invalid or void, the remainder of the License Agreement shall remain in full force and effect.

8.2. If You have any questions related to the fulfillment of this License Agreement, You may contact the Rightholder using the contact information on the Rightholder's website at https://myoffice.ru/.

8.3. This License Agreement is the English translation of the original license agreement written in Russian language which can be found at https://myoffice.ru/eula_home_edition. In case of any discrepancies between Russian and English texts of the License Agreement the Russian text shall prevail.
