License Agreement

This End User License Agreement (the License Agreement) sets out the terms of use of the AI Notes technology (AI Notes), which is one of the functional features of MyOffice Documents computer program, and is concluded between the End User and the Rightholder, which is New Cloud Technologies Ltd. (the Rightholder).

1. General Provisions

1.1. AI Notes is a functional feature (function) of the computer program MyOffice Documents designed to transform sounding speech (voice) into printed text, as well as for further automatic processing of such texts using artificial intelligence technologies, including their analysis, editing, summarization, generation of new text materials, and other derived artifacts.

1.2. By using AI Notes, the End User confirms full and unconditional consent with this License Agreement.

1.3. The Rightholder has the right to make changes to this License Agreement unilaterally without prior notice to the End User. The new version comes into force from the date of its publication on the website https://myoffice.ru/eula_AI-Notes_en/.

1.4. The AI Notes functionality is only available on mobile devices running the Android operating system.

1.5. This License Agreement is not a public offer and is addressed by the Rightholder to a strictly defined number of End Users.

2. Terms of Use

2.1. During the trial period, AI Notes are provided to End Users free of charge. The trial period shall remain in effect until the Rightholder decides to terminate it. The Rightholder has the right to terminate the trial period at any time without prior notice to the End Users.

2.2. Free access is provided to a strictly limited number of End Users, at the discretion of the Rightholder.

2.3. The Rightholder has the right to set restrictions (limits) on free use (access) at their discretion.

2.4. At the end of the trial period or if the established limits of free use are exceeded, the End User may be asked to opt for a paid subscription.

2.5 A paid subscription is provided as part of the MyOffice for home tariff line, which includes, in particular, MyOffice Documents application with the AI Notes functionality.

2.6. Due to technical limitations it is impossible to purchase and use another tariff that provides for the functionality of AI Notes if the End User has a valid MyOffice for home subscription. It is also not possible to purchase any other MyOffice for home subscription when a valid subscription with the AI Notes is in place.

2.7. The number of free limits on the use of AI Notes, as well as the scope of the functions provided, may be reviewed unilaterally by the Rightholder without prior notice to the End User.

3. Use of AI Notes Data and Output

3.1. Depending on the selected AI Note function, the system can process both the voice recordings of the End User and the text data entered by them (collectively, the Materials). Voice recordings are used exclusively for text conversion purposes and are deleted automatically after the conversion is completed. Text data can be used to perform other functions of AI models: editing, summarization, generation, and others as part of a scenario accessible to the End User.

3.2. The Materials cannot be used and are not intended to be used for the purpose of identification of personality of the End User.

3.3. The conversion of voice recordings into text is carried out using artificial intelligence models deployed locally on the infrastructure of the Rightholder and/or other persons with whom the Rightholder made a corresponding agreement.

3.4. The End User grants the Rightholder consent to use voice recordings for the purposes described above.

3.5. By uploading the Materials to AI Notes, the End User grants the Rightholder worldwide a non-paid, indefinite, and non-exclusive right to use the Materials solely for the purpose of ensuring the functionality of AI Notes, including their processing, transformation, analysis, structuring, creation of derivative results, storage on the Rightholder's servers, further training of artificial intelligence models and other technical actions required for the correct functioning of AI Notes.

3.6. The Rightholder does not use or transfer the data received from the End User for training third-party artificial intelligence models.

4. Restrictions on Use

4.1. The End User does not have the right to use AI Notes to create, transmit, store or distribute information that violates the legislation of the Russian Federation, including materials containing pornography, calls for violence, discrimination, distribution of narcotic drugs, images of citizens and their personal data, or violating the rights of third parties to the results of intellectual activity, means of personalization.

4.2. It is not allowed to use the output generated by AI Notes for training, testing or inclusion in other artificial intelligence models without the written consent of the Rightholder. The Rightholder has the right to use the output of AI Notes on terms similar to the terms of Clause 3.5. of the License Agreement.

4.3. AI Notes are intended exclusively for personal, non-commercial use by the End User, unless otherwise provided by the Rightholder.

4.4. The Rightholder has the right to restrict access to certain functions of AI Notes, including setting limits on the number of requests or the volume of uploaded Materials.

4.5. All responsibility for the content of the provided Materials, as well as for the consequences of their use, including any claims of third parties, lies with the End User.

5. Limitation of Liability

5.1. AI Notes are provided on an "as is" basis. The Rightholder does not guarantee that the functionality will meet the expectations of the End User, will work continuously and error-free, and that access to it will be provided at any time.

5.2. The results generated by AI Notes are of a reference and auxiliary nature, may contain errors, inaccuracies, outdated or unreliable information.

5.3. The Rightholder is not responsible for the accuracy, completeness, relevance, content and consequences of the use of AI Notes by the End User or third parties, including cases of their incorrect interpretation or use in contradiction with this License Agreement.

5.4. The End User independently evaluates the correctness, relevance and reliability of the results obtained, and also bears all risks associated with their use. The User shall, if needed, verify that the rights of third parties are respected and that such results comply with applicable law.

5.5. The End User is aware that the output obtained using AI Notes (including automatically created texts, summaries, transformations and other artifacts) is generated without human intervention and may not reflect the real circumstances. The Rightholder is not responsible for their content, interpretation, consequences of use or non-use.

5.6. The Rightholder is not obliged, but has the right to carry out preliminary control or moderation of uploaded Materials, End User requests and/or results obtained using AI Notes.

5.7. The responsibility for the possible consequences of the transfer by the End User of information within AI Notes, the entry of which is prohibited by this License Agreement, is borne by the End User who uploaded such information to AI Notes.

6. Intellectual Property Rights

6.1. All rights to AI Notes belong to the Rightholder.

6.2. This Agreement does not provide for the transfer of any exclusive rights to the End User.

7. Final Provisions

7.1. This License Agreement is governed by the laws of the Russian Federation.

7.2. If a part of the License Agreement is declared invalid, the remaining provisions remain in force.
